Join Our Team as a Corporate Governance Attorney at Axiom

Location: Canada, Remote

We are seeking a Corporate Governance Attorney to support our client, a large technology company. In this role, you will provide legal support across corporate governance, subsidiary management, corporate transactions, securities, treasury, tax, and compensation matters. You will collaborate with corporate departments, external counsel, advisors, and agents to support governance activities across EMEA and other global entities.

Responsibilities:

  • Lead and coordinate subsidiary governance projects across multiple countries, overseeing daily governance activities for EMEA and other global entities and ensuring compliance with local regulations and corporate governance standards.
  • Draft and review corporate agreements, resolutions, and other documentation, and support internal corporate restructurings, reorganizations, intercompany agreements, and corporate housekeeping matters.
  • Assist with the preparation of public company and subsidiary board and committee materials and coordinate subsidiary board meetings.
  • Partner with Tax, Treasury, HR, Accounting, external legal counsel, advisors, and agents on governance matters, information requests, and corporate records.
  • Provide legal support across securities and stock exchange compliance, public debt offerings and redemptions, banking and credit facility matters, share buyback programs, incentive and equity compensation matters, and other corporate legal projects.

Qualifications:

  • 2–12 years of relevant legal experience, with a focus on corporate governance, subsidiary governance, corporate transactions, or related corporate legal matters.
  • Experience drafting and reviewing corporate agreements, resolutions, board materials, and other governance documentation.
  • Experience supporting corporate restructurings, reorganizations, intercompany matters, and corporate housekeeping.
  • Knowledge of applicable Canadian and U.S. securities, stock exchange, and corporate governance requirements.
  • Juris Doctor degree or equivalent and licensed to practice law in an applicable jurisdiction.

Preferred Skills:

  • Experience supporting multinational subsidiary governance, public company board and committee matters, treasury transactions, and/or incentive and equity compensation matters.

Compensation:

The estimated total compensation for full-time Axiom attorney roles is $114,000-250,000 per year and for non-attorney roles is $64,000-201,000 per year. Compensation decisions are based on various factors, including, but not limited to, experience, skills, certifications, location, and business needs.  Employees may be eligible for additional benefits, including health, dental, and vision insurance; paid holidays and PTO; flexible work arrangements; and professional development opportunities and tools.
