Join Our Team as an Attorney at Axiom

We are seeking a Corporate & Securities Counsel to join our Financial Services team. This role will support clients across debt capital markets, equity capital markets, private credit, and venture capital transactions. We are looking for a hands-on attorney with strong experience advising on U.S. securities laws, SEC regulations, capital-raising strategies, and complex corporate financing transactions.

The ideal candidate will have experience with high-yield and international debt offerings, including transactions under the Securities Act of 1933, as well as equity offerings, IPO-related work, SEC filings, and corporate governance matters. Experience supporting private credit and venture capital financings is strongly preferred. Candidates must be licensed to practice in New York and available to work onsite in New York City as client needs require.

Responsibilities:

  • Drafting, reviewing, and negotiating bond offering documents, indentures, debentures, offering memoranda, registration statements, stock purchase agreements, shareholder agreements, and related transaction documents.
  • Advising clients on U.S. securities law and SEC regulations related to debt and equity offerings, disclosure obligations, corporate governance, shareholder rights, and capital-raising activities.
  • Supporting high-yield bond, Rule 144A, Reg S, Eurobond, EMTN, investment-grade, and other domestic and cross-border debt capital markets transactions.
  • Advising on IPO processes, equity offerings, Securities Exchange Act of 1934 reporting requirements, registration statements, and ongoing public-company governance matters.
  • Supporting private credit, venture capital, and other growth financing transactions, including financing documentation, investment structures, and related corporate matters.
  • Collaborating with issuers, underwriters, investment banks, lenders, investors, finance teams, and external counsel throughout the transaction lifecycle.
  • Managing securities law, disclosure, covenant, and corporate compliance issues while providing practical, business-oriented legal counsel.

Qualifications:

  • 5+ years of experience in capital markets, securities law, corporate finance, private credit, venture capital, or related corporate transactional practices.
  • Strong knowledge of U.S. securities laws and SEC regulations, including the Securities Act of 1933 and Securities Exchange Act of 1934.
  • Demonstrated experience advising on debt and/or equity capital markets transactions, including offerings, SEC filings, corporate governance, and related documentation.
  • Experience with high-yield bond transactions, Rule 144A offerings, Reg S offerings, or international debt issuances and/or IPOs, registration statements, and equity offerings.
  • Excellent drafting, negotiation, communication, technology, and problem-solving skills.
  • Juris Doctor (JD) degree and active New York bar admission.
  • Ability to work onsite in New York City as required by client needs.

Compensation:

The estimated total compensation for full-time Axiom attorney roles is $104,500-325,000 per year and for non-attorney roles is $71,250-309,750 per year. Compensation decisions are based on various factors, including, but not limited to, experience, skills, certifications, location, and business needs.  Employees may be eligible for additional benefits, including health, dental, and vision insurance; paid holidays and PTO; flexible work arrangements; and professional development opportunities and tools.
