Join Our Team as an Attorney at Axiom
We are seeking an Equity Capital Markets Counsel to join our Corporate and Securities team. This role centers on IPO execution, SEC reporting and compliance, and equity transaction structuring. We are looking for a hands-on attorney with a proven track record advising on initial public offerings, registration statements, and ongoing Securities Exchange Act of 1934 obligations, as well as supporting corporate governance and shareholder rights matters. The ideal candidate will bring deep experience across the **equity lifecycle - from pre-IPO readiness and filings to post-IPO compliance and equity offerings -**along with strong transactional and regulatory capabilities in corporate securities and equity capital markets.
Responsibilities:
- Drafting, reviewing, and negotiating equity offering documentation, stock purchase agreements, shareholder agreements, and related corporate governance materials.
- Providing legal guidance on IPO processes, SEC filings, corporate governance matters, and shareholder rights.
- Collaborating with internal legal, finance, and executive teams, as well as external counsel, underwriters, and regulators, on public offerings and equity capital markets transactions.
- Managing securities law and corporate governance issues for clients in public and pre-IPO companies across various industries.
- Staying ahead of equity capital markets developments and evolving SEC rules under the Securities Exchange Act of 1934 to provide proactive counsel.
Qualifications:
- 5+ years of experience in equity capital markets, securities law, or corporate transactions.
- Strong knowledge of IPO execution, SEC reporting requirements, and the Securities Exchange Act of 1934.
- Proven track record of advising clients on equity offerings, registration statements, and corporate governance matters.
- Excellent communication, negotiation, technology, and problem-solving skills.
- Juris Doctor (JD) degree and licensed to practice law in an applicable jurisdiction.
Preferred Skills:
- Experience with drafting and managing registration statements and ongoing public company compliance.
- Familiarity with working alongside investment banks and underwriters on IPOs and follow-on offerings.
Compensation:
The estimated total compensation for full-time Axiom attorney roles is $104,500-325,000 per year and for non-attorney roles is $71,250-309,750 per year. Compensation decisions are based on various factors, including, but not limited to, experience, skills, certifications, location, and business needs.
