As an Axiom M&A & Divestitures Lawyer, you'll engage in high-impact work across multiple industries while enjoying the flexibility to shape your career on your own terms, including:
Managing M&A transactions from letters of intent through closing for public companies, private companies, and private equity firms. You'll structure acquisitions, divestitures, mergers, joint ventures, and strategic partnerships, draft and negotiate purchase and sale agreements, manage transaction timelines and closing conditions, and coordinate with cross-functional teams. Your expertise guides clients through complex deal structures while managing risk and ensuring smooth execution of high-stakes transactions across diverse industries and deal sizes.
Conducting comprehensive legal due diligence investigations covering corporate, financial, regulatory, and operational matters. You'll identify material risks and liabilities, review contracts and corporate governance documents, assess intellectual property and employment issues, investigate litigation and compliance concerns, and prepare due diligence reports and risk memoranda. Your thorough analysis enables clients to make informed acquisition decisions while developing effective risk mitigation strategies and negotiating appropriate deal protections.
Negotiating and drafting transaction agreements, disclosure schedules, ancillary documents, and post-closing arrangements. You'll handle merger agreements, stock purchase agreements, asset purchase agreements, earn-out provisions, indemnification terms, and escrow arrangements. Working closely with business teams and external advisors, you'll balance commercial objectives with legal protections while driving deals toward successful completion and managing complex multi-party negotiations.
Managing regulatory approval processes including HSR filings, antitrust reviews, foreign investment clearances, and industry-specific regulatory requirements. You'll coordinate with government agencies, address regulatory inquiries and second requests, advise on regulatory risk and timing considerations, and support post-closing integration activities. Your guidance helps clients navigate regulatory landscapes effectively while ensuring compliance with merger control requirements across multiple jurisdictions and facilitating smooth post-acquisition transitions.
