Securitisation Lawyer

We are currently seeking a Securitisation Lawyer to join Axiom’s network and support clients on complex structured finance and securitisation transactions. In this role, you will advise on securitisation structures, draft and negotiate key transaction documentation, and support domestic and cross-border deals. This is an opportunity to collaborate with leading financial institutions and deliver practical, business-focused legal solutions on sophisticated capital markets and structured finance matters.
Responsibilities:
- Provide legal advice and support on securitisation and structured finance transactions, including the structuring, negotiation, and documentation of complex deals.
- Draft, negotiate, and review transaction documentation including offering memoranda, trust deeds, security agreements, servicing agreements, and other securitisation documentation.
- Support transactions involving asset-backed securities (ABS), receivables securitisations, and other structured finance arrangements.
- Manage domestic and cross-border securitisation transactions, coordinating with lenders, arrangers, originators, trustees, and external counsel.
- Conduct legal analysis and due diligence to identify risks and ensure compliance with relevant securities laws and regulatory requirements.
Minimum Qualifications:
- Qualified lawyer eligible to practice in the UK with the right to work in the UK.
- Demonstrated experience advising on securitisation, structured finance, or debt capital markets transactions.
- Experience drafting and negotiating securitisation documentation, including offering memoranda, trust deeds, servicing agreements, and security documentation.
- Experience gained at leading law firms within structured finance, securitisation, or capital markets teams; in-house or secondment experience is advantageous but not essential.
- Strong commercial awareness, excellent negotiation and stakeholder management skills, and the ability to deliver pragmatic, business-focused legal solutions.
