Join Our Team as an Attorney at Axiom
We are seeking a Debt Capital Markets Counsel to join our Corporate and Securities team. This role centers on bond issuances, capital-raising transactions, and covenant structuring, with a focus on high-yield and international debt offerings. We are looking for a hands-on attorney with deep expertise in U.S. securities law and SEC regulations governing debt securities, including experience advising on credit ratings, debenture offerings, and complex financing structures. The ideal candidate will bring strong experience executing transactions under the Securities Act of 1933, including high-yield bonds, Rule 144A offerings, Eurobonds, and EMTN programs, along with robust transactional and regulatory capabilities across the debt capital markets lifecycle.
Responsibilities:
- Drafting, reviewing, and negotiating bond offering documents, indentures, debentures, offering memoranda, and related covenant packages.
- Providing legal guidance on U.S. securities law and SEC regulations governing bond issuances, capital-raising strategies, and covenant structuring.
- Collaborating with issuers, underwriters, internal finance teams, and external counsel on high-yield, investment-grade, and cross-border debt capital markets transactions.
- Managing securities law, disclosure, and covenant compliance issues for clients in corporate and financial institution sectors.
- Staying ahead of debt capital markets trends and regulatory developments under the Securities Act of 1933 to provide proactive, business-oriented counsel.
Qualifications:
- 5+ years of experience in debt capital markets, securities law, or related corporate finance practices.
- Strong knowledge of SEC regulations, bond offerings, covenant structures, and credit rating considerations.
- Proven track record of advising clients on high-yield bond transactions, Rule 144A offerings, and international debt issuances.
- Excellent communication, negotiation, technology, and problem-solving skills.
- Juris Doctor (JD) degree and licensed to practice law in an applicable jurisdiction.
Preferred Skills:
- Experience with Eurobonds, EMTN programs, and other cross-border debt offerings.
- Familiarity with working directly with rating agencies, investment banks, and syndicate desks.
Compensation:
The estimated total compensation for full-time Axiom attorney roles is $104,500-325,000 per year and for non-attorney roles is $71,250-309,750 per year. Compensation decisions are based on various factors, including, but not limited to, experience, skills, certifications, location, and business needs.
