Join Our Team as an M&A Lawyer at Axiom

 

Location: San Francisco or Chicago 

 

We are currently seeking M&A Lawyers to work with our F500 client base across multiple industries. Ideal candidates will have a strong background in M&A law, with a proven track record of successfully managing and executing complex M&A transactions. Ideal candidates would be located in San Francisco or Chicago. This is an existing vacancy.

 

Responsibilities:

  • Advise clients on all aspects of M&A transactions, including deal structuring, due diligence, negotiation, drafting, and closing of purchase and sale agreements, merger agreements, and other related documents.
  • Draft, review, and negotiate a wide range of transactional documents, including purchase, merger, confidentiality, and disclosure agreements.
  • Coordinate activities of large deal teams and internal and external stakeholders, from due diligence through closing and integration to facilitate seamless deal execution
  • Conduct and coordinate due diligence investigations to identify potential legal risks and provide strategic guidance to clients on mitigating those risks.
  • Collaborate with cross-functional teams, including finance, tax, regulatory, and compliance experts, to ensure seamless execution of M&A transactions and integration processes.

 

Qualifications:

  • Possess an active bar license in the state in which you reside.
  • Minimum 3+ years of experience practicing as an M&A attorney at an AmLaw firm or F500 in-house legal department, with a focus on handling complex M&A transactions.
  • Experience working on mergers, acquisitions, joint ventures, divestitures, private equity, or fund investments either at an law firm or in an in-house legal team.
  • Strong knowledge of federal and state corporate and securities laws, regulations, and practices related to M&A transactions.

 

Preferred Skills:

  • Experience advising clients in a variety of industries, including technology, healthcare, energy, and financial services, on M&A transactions.
  • Demonstrated ability to manage multiple high-stakes transactions simultaneously, with excellent project management, negotiation, and communication skills.
  • Familiarity with private equity and venture capital transactions, including portfolio company acquisitions and dispositions.

 

Compensation:

The estimated total compensation for full-time Axiom attorney roles is $104,500-325,000 per year and for non-attorney roles is $71,250-309,750 per year. Compensation decisions are based on various factors, including, but not limited to, experience, skills, certifications, location, and business needs.  Employees may be eligible for additional benefits, including health, dental, and vision insurance; paid holidays and PTO; flexible work arrangements; and professional development opportunities and tools.
