Challenge

A global pharmaceutical company needed to consolidate and restate a portfolio of complex global distribution and promotion agreements . Each country file ran several hundred pages, one nearly 1,500, with 40+ amendments , side letters, and special terms layered on the original. The team needed to know the current contractual position, how key provisions had changed, and how each agreement differed from what was originally signed.

Approach

Axiom paired a senior commercial contracting lawyer with Legora, on a strategy covering 15 territories across Africa, the Caribbean, and Latin America. The lawyer was chosen for international experience and prior legal-AI work. Legora identified the specific underlying provisions and changes supporting each response, so the attorney reviewed the Legora analysis to confirm its generated conclusions. The analysis phase came in under budget.

Impact 

• New amended and restated agreements delivered for all 15 territories, reflecting the current business relationship.
• A punch list of every agreed change, traced back through each amendment, giving the client and distributor a record to manage the relationship against.
