Ahead of a major corporate transaction, a global manufacturer needed a clear, actionable view of contract risk across nearly 16,000 legacy agreements. The in-house team lacked the capacity to parse this complex and varied contract landscape at scale—especially given the urgent need to flag unfavorable terms that could delay or disrupt the transaction.
First, an Axiom team of lawyers extracted all contracts that contained “Change in Control” language, roughly 1,500 of the 16,000 records. Once identified, they used Legora to bulk review the agreements and manually check the favorable/unfavorable contracts to confirm accuracy and eliminate duplicates. Once isolated, they used Legora again to extract metadata such as document type, counterparty name, and more into a structured data bank. The Axiom team wrapped the project with a final manual check to categorize the logic (notice/consent, termination rights, other) behind all unfavorable agreements.
